Introduction

Welcome to Insight IQ, an AI-powered analytics platform for e-commerce businesses. These Terms of Service ("Terms", "Terms of Service", or "Agreement") govern your use of the Insight IQ platform and services (collectively, the "Service") operated by DataWize AI LLC d/b/a Insight IQ ("Insight IQ", "we", "us", or "our").

Insight IQ is a Delaware limited liability company with its principal place of business at 8 The Green, Suite B, Dover, Delaware 19901, United States.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Definitions

  • "Account" means a unique account created for you to access our Service.
  • "AI Features" means the artificial intelligence-powered analytics, insights, and recommendations provided through Anthropic's Claude AI.
  • "Content" means text, images, data, information, or other materials.
  • "Customer Data" means any data you provide or that we collect from your connected integrations (Shopify, Google Ads, Meta Ads, TikTok Ads).
  • "Service" means the Insight IQ platform, including the website, dashboard, integrations, and all features.
  • "Subscription" means your paid plan to access the Service.
  • "User", "You", "Your" means the individual or entity using our Service.

2. Acceptance of Terms

By creating an account, subscribing to a plan, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Service.

If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you do not meet these requirements, you must not access or use the Service.

4. Account Registration and Security

4.1 Account Creation

To use Insight IQ, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate registration information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities that occur under your account

4.2 Account Restrictions

You may not:

  • Share your account with others
  • Create multiple accounts to abuse free trials or promotional offers
  • Use another person's account without permission
  • Transfer or sell your account to another party
  • Use automated means to create accounts

5. Description of Service

Insight IQ provides AI-powered analytics and insights for e-commerce businesses. The Service includes:

  • Shopify: Connect your Shopify store to import sales data, order information, product catalog, and customer metrics
  • Google Ads: Connect your Google Ads account to analyze campaign performance, ad spend, conversions, and ROI
  • Meta (Facebook/Instagram) Ads: Connect your Meta Ads account to track ad performance, audience insights, and social media ROI
  • TikTok Ads: Connect your TikTok Ads account to monitor campaign metrics and video ad performance

  • Unified dashboard displaying metrics from all connected platforms
  • Revenue tracking and sales analytics
  • Advertising spend and return on ad spend (ROAS) calculations
  • Customer acquisition cost (CAC) and lifetime value (LTV) analysis
  • Product performance tracking
  • Custom date range filtering and comparisons
  • Data visualization through charts and graphs
  • CSV export functionality
  • PDF report generation

5.3 AI-Powered Insights

  • Automated analysis of business performance powered by Anthropic's Claude AI
  • Actionable recommendations for improving marketing ROI
  • Trend identification and anomaly detection
  • Personalized insights based on your specific business data
  • Natural language summaries of complex data

5.4 Notifications and Alerts

  • Email notifications for significant changes in metrics
  • Weekly performance summaries
  • Custom alerts for specific thresholds

6. Subscription Plans and Pricing

6.1 Available Plans

Insight IQ offers the following subscription plans:

Starter Plan - $99/month

  • Email support

Professional Plan - $299/month

  • Up to $250,000 monthly revenue tracking
  • Unlimited integration connections

  • Weekly performance summaries

Enterprise Plan - $999/month

  • Unlimited revenue tracking
  • Unlimited integration connections
  • Advanced analytics, custom reports, and white-label options

  • 24/7 priority support
  • Daily performance summaries
  • API access

6.2 Free Trial

We may offer a free trial period for new users. The trial duration and features available will be specified at signup. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

6.3 Billing and Payment

  • Payment Method: All subscriptions are processed securely through Stripe. You must provide valid payment information.
  • Billing Cycle: Subscriptions are billed monthly or annually, depending on your selected plan.
  • Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Payment Failure: If payment fails, we will attempt to charge your payment method again. If payment continues to fail, your access to the Service may be suspended or terminated.
  • Taxes: You are responsible for any applicable taxes, duties, or government fees.

6.4 Price Changes

We reserve the right to change our pricing at any time. If we change the price of your subscription, we will provide at least 30 days' advance notice via email. The new price will apply starting with your next billing cycle after the notice period. If you do not agree to the price change, you may cancel your subscription before it renews.

6.5 Cancellation

You may cancel your subscription at any time from your account settings or by contacting support@insight-iq.ai. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period. No partial refunds will be provided for unused time.

6.6 Refund Policy

Refunds are handled on a case-by-case basis at our sole discretion. Generally, we do not provide refunds for:

  • Partial billing periods
  • Dissatisfaction with AI insights or recommendations
  • Issues caused by third-party platforms (Shopify, Google, Meta, TikTok)
  • Your failure to use the Service
  • Downtime within our acceptable service levels

To request a refund, contact support@insight-iq.ai with your account details and reason for the refund request. We will review your request and respond within 5-7 business days.

7. Third-Party Integrations and OAuth Permissions

7.1 OAuth Authorization

To use Insight IQ's analytics features, you must grant us permission to access data from your third-party accounts using OAuth 2.0 authorization. When you connect an integration, you will be redirected to the respective platform to authorize access.

7.2 Data Access by Integration

  • Shopify: We access store name, order data, product information, sales metrics, and customer counts (no personally identifiable customer information)
  • Google Ads: We access campaign names, ad spend, impressions, clicks, conversions, and performance metrics
  • Meta (Facebook/Instagram) Ads: We access ad account data, campaign performance, ad spend, and engagement metrics
  • TikTok Ads: We access campaign data, ad performance metrics, and spend information

7.3 Your Responsibilities

You represent and warrant that:

  • You have the legal right to grant us access to your third-party accounts
  • You comply with all terms of service of the third-party platforms
  • You will not use Insight IQ to violate any third-party platform policies
  • You are responsible for maintaining valid credentials with third-party platforms

7.4 Disconnecting Integrations

You may disconnect any integration at any time from your dashboard. Disconnecting will stop data synchronization and may limit the insights we can provide. Historical data already collected will be retained according to our data retention policies unless you request deletion.

7.5 Third-Party Terms

Your use of third-party integrations is also subject to the terms and policies of those platforms:

  • Shopify API Terms of Service

  • Meta Platform Terms and Developer Policies
  • TikTok for Business Terms of Service

We are not responsible for any changes, limitations, or issues with third-party platforms that affect the Service.

8. AI Features and Limitations

8.1 AI-Powered Insights

Insight IQ uses Anthropic's Claude AI to analyze your business data and generate insights. These insights are provided for informational purposes only and should not be considered as professional business, financial, legal, or tax advice.

8.2 No Guarantee of Accuracy

While we strive to provide accurate and helpful insights, AI-generated recommendations:

  • May contain errors, inaccuracies, or omissions
  • Are based on historical data and may not predict future results
  • Should be verified independently before making business decisions
  • Are not a substitute for professional business consulting or advice

8.3 Disclaimer of Liability for AI Decisions

You acknowledge and agree that:

  • All business decisions made based on AI insights are your sole responsibility
  • We are not liable for any losses, damages, or consequences resulting from decisions made based on AI-generated insights
  • You should consult with qualified professionals before making significant business decisions

8.4 AI Usage and Privacy

Your data is sent to Anthropic's Claude AI API for analysis. Anthropic does not train models on user data submitted via their API. For more information, see our Privacy Policy and Anthropic's Commercial Terms.

9. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any local, state, national, or international law or regulation
  • Infringe on any proprietary rights, including intellectual property rights
  • Transmit any material that contains viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems, servers, or networks
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated scripts, bots, or scrapers to access the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any copyright, trademark, or proprietary notices
  • Resell, redistribute, or sublicense the Service without written permission
  • Use the Service for any fraudulent, deceptive, or misleading purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or store personal data about other users without permission
  • Create multiple accounts to abuse free trials or promotional offers
  • Use the Service to spam, harass, or send unsolicited communications

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

10. Intellectual Property Rights

10.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, code, logos, and trademarks, is owned by Insight IQ and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to:

  • Copy, modify, or create derivative works of the Service
  • Distribute, sell, lease, or sublicense access to the Service
  • Use the Service to build a competing product or service

10.2 Your Data

You retain all rights, title, and interest in and to your Customer Data. We claim no ownership rights over:

  • Your Shopify store data
  • Your advertising campaign data from Google, Meta, and TikTok
  • Any other business data you provide

By using the Service, you grant us a limited license to access, store, process, and analyze your Customer Data solely for the purpose of providing the Service to you.

10.3 AI-Generated Insights

AI-generated insights and recommendations are provided to you for your use. You may use them for your business purposes but may not resell or redistribute them without our permission.

10.4 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Service without any obligation or compensation to you.

11. Data Ownership and Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://insight-iq.ai/privacy. By using the Service, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

Key privacy points:

  • We collect data from your connected integrations to provide analytics
  • We use Anthropic's Claude AI to generate insights (Anthropic does not train on your data)
  • We use cookies and tracking technologies (CookieYes for consent management)
  • We share data with service providers (Stripe for payments, etc.)
  • You have rights to access, correct, delete, and export your data
  • We comply with GDPR, CCPA, and other privacy regulations

12. Service Availability and Modifications

12.1 Service Availability

We strive to provide a reliable service, but we do not guarantee that the Service will be:

  • Available at all times without interruption
  • Free from errors, bugs, or security vulnerabilities
  • Compatible with all devices, browsers, or operating systems
  • Accurate, complete, or up-to-date in all respects

We may experience downtime due to maintenance, upgrades, third-party API issues, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

12.2 Modifications to Service

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Change features, functionality, or pricing
  • Remove or limit access to certain features for specific subscription tiers
  • Impose limits on usage (API calls, data processing, storage, etc.)

Material changes will be communicated via email or through the Service dashboard. Continued use of the Service after such changes constitutes acceptance of the modified terms.

12.3 Third-Party Dependencies

The Service relies on third-party APIs and services (Shopify, Google, Meta, TikTok, Anthropic, Stripe). We are not responsible for:

  • Changes to third-party APIs that affect functionality
  • Downtime or outages of third-party services
  • Inaccuracies in data provided by third-party platforms
  • Costs or fees imposed by third-party platforms

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • QUIET ENJOYMENT
  • ACCURACY OR RELIABILITY

WE DO NOT WARRANT THAT:

  • The Service will meet your specific requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate, complete, or reliable
  • AI-generated insights will improve your business performance
  • Any errors in the Service will be corrected
  • The Service is free from viruses or other harmful components

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSIGHTIQ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
  • DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF THE SERVICE
  • DAMAGES RESULTING FROM BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE
  • DAMAGES RESULTING FROM ANY ERRORS OR OMISSIONS IN ANY CONTENT OR DATA
  • DAMAGES RESULTING FROM BUSINESS DECISIONS MADE BASED ON AI-GENERATED INSIGHTS
  • DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT, INCLUDING DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT INSIGHTIQ HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO INSIGHTIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Insight IQ, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations
  • Your Customer Data or any content you submit
  • Your business decisions made based on AI-generated insights
  • Your breach of any third-party terms (Shopify, Google, Meta, TikTok, etc.)

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

16. Termination and Suspension

16.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription from your account settings
  • Contacting our support team at support@insight-iq.ai
  • Using the account deletion feature (if available)

Upon cancellation, your access will continue until the end of your current billing period. No refunds will be provided for the remaining portion of the billing period.

16.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use Policy
  • Non-payment of subscription fees
  • Fraudulent, abusive, or illegal activity
  • Multiple chargebacks or payment disputes
  • Providing false or misleading information
  • Harassing or abusing our support team
  • Extended periods of inactivity (typically 12+ months)
  • Request from law enforcement or regulatory authorities
  • Risk to the security or integrity of the Service

16.3 Effect of Termination

Upon termination of your account:

  • Your right to use the Service will immediately cease
  • All licenses granted to you under these Terms will terminate
  • We may delete your Customer Data according to our data retention policies
  • You will no longer have access to any reports, insights, or historical data
  • Outstanding fees owed to us will become immediately due and payable

16.4 Survival

The following sections shall survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in court, except as otherwise provided herein.

The arbitration will be conducted in English in New Castle County, Delaware, or remotely via video conference. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

17.3 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17.4 Class Action Waiver

YOU AND INSIGHTIQ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.5 Jurisdiction

If for any reason a dispute proceeds in court rather than arbitration, you and Insight IQ consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by:

  • Posting the updated Terms on this page with a new "Last Updated" date
  • Sending an email notification to the address associated with your account
  • Displaying a prominent notice on the Service dashboard

For material changes, we will provide at least 30 days' notice before the new terms take effect. What constitutes a "material change" will be determined at our sole discretion.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your account before the changes take effect.

It is your responsibility to review these Terms periodically for changes.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Insight IQ regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.

19.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.6 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

19.7 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Insight IQ. You have no authority to bind Insight IQ in any manner whatsoever.

19.8 Third-Party Beneficiaries

These Terms are for the benefit of you and Insight IQ only and are not intended to confer any right or benefit on any third party.

21. Acknowledgment

BY CREATING AN ACCOUNT, CONNECTING INTEGRATIONS, SUBSCRIBING TO A PLAN, OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
